Thinking of rebranding or giving your business a fresh identity? In Singapore, you can change your company name through ACRA. Here’s a simple guide to walk you through the process.
Step 1: Choose a new company name
Ensure that it complies with ACRA’s company name guidelines and isn’t already taken or too similar to an existing company name.
It cannot:
- contain vulgar or offensive language
- too similar to another company or government agency
- prohibited name (e.g., “Temasek” is legally protected)
Tip: You can search for available names on BizFile+
If ACRA finds your name too similar to another, they may reject your application or require another change later.
Step 2: File the Application with ACRA
Log in to BizFile and complete the “Change in Company Information including Appointment/Cessation of Company Officers/Auditors” form under File eServices > Local Company > Make Changes.
- filing fee: S$15
- Once submitted, ACRA will review your application
Step 3: Pass a Special Resolution
If your request is approved, pass a Special Resolution. Follow these steps:
- Draft a written resolution for the company name change
- Notify your company’s shareholders in writing about the resolution proposal at least 14 days before the meeting (for private limited companies). You can shorten this notice period if shareholders holding at least 95% of voting rights agree.
- A minimum of 75% of shareholders with voting rights must approve the resolution.
For more on compliance, check out our blog on Maintaining Company Registers.
Step 4: Submit the Notice of Resolution
Submit a Notice of Resolution to ACRA within 14 days of passing the resolution. Go to the “Notice of Resolution” form under File eServices > Local Company > Make Changes in BizFile. There is no fee for this step.
Step 5: Receive the New Incorporation Notice
ACRA will issue a Notice of Incorporation under your company’s new name. From this point:
- The new name is active in ACRA’s BizFile directory.
- Old names will appear in brackets (“n.k.a.” = now known as / “f.k.a.” = formerly known as), ensuring both old and new names remain searchable.
